Terms of Service

Throttl — operated by Marshal Labs LLC

These Terms of Service ("Terms") govern your use of the Throttl mobile application ("Throttl" or the "App"), operated by Marshal Labs LLC ("Marshal Labs," "we," "us," or "our"). By creating an account or using the App, you agree to these Terms. Our Privacy Policy (available at getthrottl.com/privacy) is incorporated by reference into these Terms. Where this document refers to data handling, deletion, or retention, the Privacy Policy governs.

If you are using Throttl on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms, and "you" refers to that entity.

1. Acceptance of Terms

By downloading, installing, or using Throttl, you agree to be bound by these Terms and our Privacy Policy. We may update these Terms from time to time. Section 14 explains how we will notify you of changes.

2. Eligibility

Age. You must be at least 13 years old to use Throttl. If you are between 13 and 17 years old, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

We do not knowingly allow children under 13 to use Throttl. If we learn that a user is under 13, we will delete that account promptly. See our Privacy Policy, Section 9, for details.

Geography. Throttl is available to users in the United States and Canada only. Do not use Throttl if you are located outside these countries.

Legal capacity. You represent that you are not barred from using Throttl under applicable law, and that you have not previously been removed from Throttl for a violation of these Terms.

3. Your Account

3.1 Sign-In

Throttl supports Google Sign-In, Apple Sign-In, and phone number authentication. We do not offer username-and-password accounts. We never receive or store your Google or Apple password. Phone authentication uses a one-time SMS verification code — we do not store the code after verification. You are responsible for maintaining the security of your sign-in method, because access to it means access to Throttl.

3.2 Account Responsibility

You are responsible for all activity that occurs under your account, whether or not you authorized it. If you believe your account has been compromised, contact us immediately at support@getthrottl.com.

3.3 One Account Per Person

You may only hold one active Throttl account at a time. Creating duplicate accounts to evade a suspension or ban is a violation of these Terms.

3.4 Accurate Information

You agree to provide accurate information when setting up your profile, and to keep it reasonably current. Profiles with false or materially misleading information may be suspended or removed.

4. User Content

4.1 What "User Content" Means

"User Content" means anything you create, post, or share through Throttl, including: your rider profile (name, bio, profile photo, bike photos, riding style tags); events you create (title, description, location, date, type); messages in event group chats; direct messages to other riders.

4.2 You Retain Ownership

You own your User Content. These Terms do not transfer ownership to Marshal Labs.

4.3 License You Grant to Marshal Labs

By posting User Content, you grant Marshal Labs a non-exclusive, royalty-free, worldwide license to store, display, transmit, and distribute your User Content as necessary to operate and provide the App. "Non-exclusive" means you can still share the same content anywhere else. "Royalty-free" means we do not pay you for using it and you do not pay us for hosting it.

We will not use your content in advertising or sell it to third parties.

This license ends when you delete the content or your account. Where our Privacy Policy requires us to retain certain records after deletion — for example, anonymized past event records and chat messages preserved for other participants — the license continues for as long as we hold that content under our retention schedule.

4.4 Your Representations

By posting User Content, you represent that: you own it or have the right to share it; it does not violate anyone else's rights, including copyright or privacy; it complies with these Terms.

4.5 Content Visibility

Your location is always shown at city or area level only — never as precise coordinates.

4.6 Content Removal

We may remove User Content that violates these Terms or that we determine is harmful to users or the community. We will make reasonable efforts to notify you when we remove your content, except where immediate removal is required.

5. Prohibited Conduct

The following are not allowed on Throttl. This list is not exhaustive — we may take action on conduct that harms users or the community even if it is not specifically listed here.

Harm or harass others: Bully, threaten, stalk, or harass any person. Post content that is hateful, discriminatory, or incites violence toward any person or group based on race, ethnicity, national origin, religion, gender, sexual orientation, disability, or other protected characteristics. Post content that sexualizes minors in any way. Share anyone's private information — including their address, phone number, or precise location — without their consent.

Abuse the platform: Create false or misleading events, fake event locations, or deceptive event details. Impersonate another person, rider, business, or organization. Create multiple accounts to evade enforcement. Use automated tools (bots, scrapers, or scripts) to access or extract data from the App. Manipulate RSVP counts or discovery features. Send spam, including unsolicited bulk messages to other users.

Post illegal or harmful content: Post content that infringes copyright, trademark, or other intellectual property rights. Solicit or distribute illegal goods or services. Upload malware, viruses, or any code intended to disrupt the App. Post content that violates child safety laws or any other applicable law.

Organize dangerous activity: Organize or encourage illegal street racing, reckless riding, or other conduct that endangers life.

Circumvent the App: Attempt to access systems or data you are not authorized to access. Reverse-engineer, decompile, or attempt to extract the App's source code. Interfere with other users' access to the App or with the App's operation or security. Scrape or extract user data in bulk without our written permission.

If you see a violation, use the in-app report feature or email support@getthrottl.com. Reports go to a human reviewer — we do not take automated action on reports. Marshal Labs may remove content or suspend accounts that violate these rules, with or without notice. Serious or repeated violations result in permanent termination.

6. Events

6.1 Creating Events

Any registered Throttl user may create events. Events are visible to all users in the App. When you create an event, you are the organizer. By creating an event, you represent that the event information is accurate — including the location, date, and description.

When creating events, you'll choose from our predefined event types. Events must be motorcycle-related community gatherings.

6.2 Organizer Responsibilities

As an event organizer, you are responsible for: providing accurate event details, including location, date, and time; notifying attendees promptly if details change — the App will send a notification to RSVPed riders when you edit location or time; ensuring your event complies with applicable law, including any permit requirements for public gatherings.

Throttl is a platform for discovering and coordinating events. We are not the organizer, co-sponsor, or insurer of any user-created event. We are not responsible for what happens at events listed on the App.

6.3 RSVPs

Clicking "I'm Going" on an event is an expression of intent — it is not a binding commitment to attend. RSVP counts are public. Organizers can see who has RSVPed.

6.4 Distance-Based Access

Free users may view all events but can only RSVP to or create events within approximately 200 miles of their current location. Premium subscribers have no distance restriction.

6.5 Cancelling Events

If you need to cancel an event, just tap "Cancel" in the app. The app handles the rest — all riders who RSVPed get a notification automatically.

If you significantly change event details like time or location, edit the event in the app — attendees will be notified automatically.

6.6 Recurring Events

You may create events that repeat on a daily, weekly, or monthly schedule. Each instance is treated as a separate event for RSVP and chat purposes. Cancelling a recurring series removes all future instances.

6.7 No Guarantee of Event Quality

Marshal Labs does not verify, endorse, or guarantee any event posted on the platform. We are not responsible for the safety, legality, or accuracy of any event listing. Attend real-world events at your own risk.

7. Messaging

7.1 Event Group Chat

All users who have RSVPed to an event may participate in that event's group chat. Chat is open during the event's lifetime and becomes read-only 90 days after the event date. See our Privacy Policy, Section 6, for message retention details.

7.2 Direct Messages

Free users may send a direct message to another user if you have both RSVPed to at least one shared event. Premium subscribers may message any discoverable user on Throttl.

7.3 Messaging Rules

You agree not to use Throttl messaging to: send spam, chain messages, or unsolicited promotional messages; harass, threaten, or intimidate any user; share content that violates Section 5 (Prohibited Conduct).

Repeated messaging violations may result in suspension of messaging access or your account.

7.4 CASL — Canadian Users

Canada's Anti-Spam Legislation (CASL) requires that you give us express consent before we may send you any promotional or commercial electronic messages — whether by email, push notification, or in-app message. We do not send promotional messages by default. You may opt in during account setup or at any time through your notification settings. You may withdraw consent at any time by using the unsubscribe link in any promotional email, adjusting your notification settings, or contacting support@getthrottl.com.

Transactional messages — such as account notices, event updates, and deletion warnings — are separate from promotional messages and do not require opt-in consent.

7.5 No End-to-End Encryption Guarantee

Throttl messages are transmitted and stored through our service providers. We do not currently offer end-to-end encrypted messaging. Do not share sensitive personal or financial information through the App.

8. Premium Subscriptions

8.1 What Premium Includes

A Throttl Premium subscription unlocks: browse riders and events in any supported city, with no distance restriction; see more nearby riders; priority placement in the nearby rider list; see which Throttl users have viewed your profile.

8.2 Pricing

Current subscription prices are displayed at the point of purchase in the App, on a monthly or annual basis. If we change the subscription price, we will notify you at least 30 days in advance via email and in-app notice. Price changes apply only at your next renewal — you may cancel before the new price takes effect.

8.3 Billing

All subscriptions are billed through the Apple App Store or Google Play, depending on where you purchased. Billing, receipts, and payment method changes are handled by Apple or Google directly — not by Marshal Labs. Our subscription processor manages the link between your account and your subscription status on our behalf. Marshal Labs never receives or stores your payment card information.

Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date.

8.4 Cancellation

You may cancel your subscription at any time through your Apple or Google account settings. Cancellation takes effect at the end of the current billing period — you retain premium access until that date.

8.5 Refunds

Throttl does not issue refunds directly. All refund requests must be submitted to Apple (through reportaproblem.apple.com) or Google (through Google Play), in accordance with their respective refund policies. We have no ability to override their decisions.

8.6 Free Trials

If we offer a free trial, the trial period and post-trial billing terms will be clearly disclosed at sign-up. Cancelling before the trial ends avoids any charge.

8.7 Promotional Communications

Price change notices and account-related emails are transactional — we send them as part of operating the App and do not require separate opt-in. If we send promotional emails (feature announcements, offers), those require your prior consent. Canadian users: under CASL, we will only send promotional messages to you if you have affirmatively opted in. You may withdraw consent at any time using the unsubscribe link in any promotional email or by contacting support@getthrottl.com.

8.8 Free Users

Free users retain access to all core features of Throttl: creating and joining events within the distance limit, event group chat for events you have joined, and direct messaging with riders you have met through shared events.

9. Founding Rider Program

9.1 What It Is

The Founding Rider Program recognizes early community members who helped build Throttl. It is available to users who created an account via the Throttl founding rider landing page during the beta period. It has two components: (a) the Founding Rider badge, and (b) lifetime premium access, which is earned separately through community participation.

9.2 Founding Rider Badge

If you signed up through the founding rider landing page, you receive Founding Rider status immediately upon account creation, reflected by a badge on your profile. This badge is permanent — it will remain on your profile regardless of whether you later earn lifetime premium, and will not be removed if you do not reach the premium threshold.

Founding Rider status is separate from a premium subscription. The badge is yours from the moment you earn it at signup.

9.3 Earning Lifetime Premium

Founding Rider status alone does not grant premium access. Free lifetime premium is earned separately by meeting one of the following participation thresholds:

Path B — OrganizerCreate 1 event that receives 10 or more RSVPs.

When you cross either threshold, the App automatically grants you lifetime premium access. You do not need to claim it or contact us.

The 5-RSVP minimum on Path A qualifying events is designed to ensure you are participating in real community events, not test or solo rides. The 7-day rolling window means no more than one qualifying event may count in any 7-day period, so the minimum real-world time to earn is 3 weeks.

9.4 What "Lifetime" Means

Lifetime premium means your premium access will not expire as long as your account remains active and Throttl continues to operate as a premium service. It is not transferable to another account and has no cash value — it cannot be transferred, sold, or applied toward a cash refund.

9.5 Our Commitment to Earned Members

Marshal Labs makes three permanent commitments to users who have earned lifetime premium through the Founding Rider Program:

1. The grant will not be revoked. If you have crossed Path A or Path B, that access is yours permanently.

2. If we discontinue the premium tier entirely, your Founding Rider lifetime grant converts to the broadest access tier available to any Throttl user at that time.

3. Subsequent changes to the earning criteria do not retroactively reduce or revoke benefits already earned. They affect only users who have not yet reached a threshold.

This commitment survives any changes to the Founding Rider program for new participants.

9.6 Program Changes

Marshal Labs may modify or discontinue the Founding Rider Program for users who have not yet earned lifetime premium, including by changing the earning thresholds or closing the program to new participants. If we decide to close the program to new earners, we will give advance notice through the standard Terms update process described in Section 14. Changes do not affect users who have already earned lifetime premium (Section 9.5).

If you have the Founding Rider badge but have not yet reached the premium threshold, your opportunity to earn it remains open as long as the program continues.

9.7 Abuse

Artificially inflating RSVP counts — for example, through coordinated fake accounts — to reach a Founding Rider threshold is a violation of these Terms and may result in termination of your account and forfeiture of any benefits.

10. Termination

10.1 How You Can Leave

You may delete your Throttl account at any time from within the App (Profile → Settings → Delete Account) or by emailing support@getthrottl.com.

Important: Deleting your Throttl account does not automatically cancel your App Store or Google Play subscription. To avoid being charged after deletion, cancel your subscription first (see Section 8.4), then delete your account.

Deletion begins a 30-day recovery window, during which you may restore your account by logging in. After 30 days, all personal data is permanently deleted. We acknowledge deletion requests within 45 days of receipt and complete deletion promptly thereafter. Our Privacy Policy, Sections 6 and 7, describes exactly what happens to your data after deletion.

10.2 How We May Suspend or Terminate Your Account

We may suspend or permanently terminate your account, with or without notice, if: you violate these Terms, including the Prohibited Conduct in Section 5; your account is involved in fraud, abuse, or illegal activity; we receive a valid legal order requiring us to do so; we determine that continued access poses a risk to the safety of other users or the integrity of the platform.

For serious violations (threats, illegal content, platform abuse), we may act immediately without prior notice. For less severe issues, we will generally give you notice and an opportunity to respond before taking action.

10.3 Effect of Termination

When your account is terminated: your access to the App ends immediately; your User Content is handled as described in our Privacy Policy — in general: your profile is hidden immediately, most data is deleted within 45 days, and certain records are retained in anonymized form — past event records and chat messages where other riders participated will show your name as "Former Member" with your identifying information removed; your premium subscription (if any) is not automatically refunded — see Section 8.5; earned lifetime premium from the Founding Rider Program is forfeited if termination is for cause (a violation of these Terms) — it is not forfeited if you voluntarily delete your account; Sections 4.2 (your content ownership), 9.5 (earned lifetime premium commitment), 11, 12, and 13 of these Terms survive termination.

If your account is terminated for a Terms violation, you may not create a new account without our permission.

10.4 Appeals

If you believe your account was suspended or terminated in error, contact us at support@getthrottl.com. We will review the decision and respond within 14 days. We review all good-faith appeals.

11. Disclaimer of Warranties

Throttl is provided "as is" and "as available" without warranties of any kind. To the fullest extent permitted by applicable law, Marshal Labs disclaims all warranties, express or implied, including: any implied warranty of merchantability — that the App works as expected for general use; any implied warranty of fitness for a particular purpose — that the App will meet your specific needs; any warranty of non-infringement — that using the App does not infringe anyone else's rights; any warranty that the App will be uninterrupted, error-free, or free of security vulnerabilities; any warranty regarding the accuracy, reliability, or completeness of any content in the App, including user-generated events and rider information.

We do not warrant that events listed on Throttl are safe, legal, or accurately described, or that other users will behave appropriately. We are not responsible for other users' conduct or for events that do not take place as described.

Use Throttl at your own risk when attending real-world events. Marshal Labs has no control over what happens at user-organized gatherings.

Some jurisdictions do not allow the exclusion of certain implied warranties. In those jurisdictions, this disclaimer applies to the fullest extent permitted by applicable law. Nothing in this section limits any warranty rights you may have under applicable consumer protection law in your jurisdiction.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Marshal Labs and its officers, employees, contractors, and affiliates will not be liable for: indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, loss of goodwill, or personal injury — arising from your use of or inability to use Throttl, even if we have been advised of the possibility of such damages; damages resulting from third-party conduct, user-generated content, real-world events organized through the App, or any interaction you have with other users on or off the platform.

Cap on liability. Our total liability to you for any claim arising from these Terms or your use of Throttl will not exceed the greater of: (a) the total subscription fees you paid to Marshal Labs in the 12 months before the claim arose, or (b) $100 USD.

Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In those jurisdictions, these limitations apply to the fullest extent permitted by applicable law. Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct.

12.1 Indemnification

You agree to indemnify and hold harmless Marshal Labs, its officers, employees, contractors, and affiliates from all damages, losses, and reasonable legal costs arising from third-party claims related to: (a) your User Content, (b) your use of the App in violation of these Terms, (c) an event you organized through the App, or (d) your violation of any applicable law or third-party right — except to the extent such damages result from Marshal Labs' own negligence or willful misconduct.

Marshal Labs may assume exclusive control of the defense of any indemnified claim. You agree to cooperate reasonably with our defense.

13. Governing Law and Disputes

13.1 Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

13.2 Informal Resolution First

Before filing any formal claim, you agree to contact us at support@getthrottl.com and attempt to resolve the dispute informally. We will make a good-faith effort to resolve it within 30 days.

13.3 Formal Disputes

If informal resolution fails, any dispute arising from these Terms or your use of Throttl will be resolved in the state or federal courts located in the State of Georgia. You and Marshal Labs both consent to personal jurisdiction in those courts.

13.4 No Class Actions

To the extent permitted by law, you agree to bring claims against Marshal Labs only in your individual capacity, and not as a plaintiff or class member in any class action or representative proceeding.

13.5 Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

13.6 Canadian Users

Nothing in these Terms limits rights you may have under applicable Canadian consumer protection law.

14. Changes to These Terms

When we make material changes to these Terms, we will: 1. Post the revised Terms at getthrottl.com/terms with an updated effective date. 2. Send an email to the address associated with your account. 3. Display an in-app notice the next time you open Throttl.

Material changes will not take effect for at least 14 days after notification, except for changes required by law or to address security issues, which may take effect immediately.

Your continued use of Throttl after the effective date of revised Terms means you accept the changes. If you do not agree, you may delete your account before the effective date.

For minor or clarifying changes that do not affect your rights, we may update the Terms without separate notice.
